These Terms and Conditions ("Terms") govern your use of the Win Infoway website and engagement of our technology services. By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Services

Win Infoway provides IT services, software development, web development, mobile application development, AI solutions, cloud services, and related technology consulting. Specific terms for individual engagements are detailed in separate Service Agreements or Statements of Work.

2. Intellectual Property

Upon full payment for completed work, clients receive ownership of all custom software, code, and digital assets created specifically for their project, unless otherwise agreed. Win Infoway retains ownership of pre-existing tools, frameworks, methodologies, and proprietary components used in delivering services.

3. Confidentiality

Both parties agree to maintain the confidentiality of the other party's proprietary information and trade secrets. This obligation survives the termination of any service engagement for a period of three (3) years.

4. Payment Terms

• Invoices are due within 30 days of issue unless otherwise agreed
• Project work may be suspended for accounts overdue by more than 14 days
• Late payments may incur interest at 2% per month on outstanding amounts
• Deposits are non-refundable unless Win Infoway fails to commence work

5. Warranties and Limitation of Liability

Win Infoway warrants that services will be performed with reasonable skill and care. Our total liability for any claim shall not exceed the total fees paid for the relevant services in the three months preceding the claim.

6. Indemnification

You agree to indemnify and hold Win Infoway harmless from any claims, damages, or expenses arising from your use of our services, your content, or your violation of these Terms.

7. Termination

Either party may terminate a service engagement with 30 days written notice. Upon termination, you will pay for all work completed to date. Win Infoway will deliver all completed work and relevant materials upon receipt of final payment.

8. Governing Law

These Terms are governed by the laws of India and jurisdiction of Rajkot, Gujarat, India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Rajkot, Gujarat, India.

9. Modifications

We reserve the right to update these Terms at any time. Continued use of our website or services after changes constitutes acceptance of the updated Terms.
